Ratio Decidendi

The Court found that the applicant had demonstrated that the intended appeal was arguable, particularly on the legal question of whether damages for the unexpired term of a fixed-term contract are justifiable and whether notice pay was properly awarded. The Court also determined that the appeal could be rendered nugatory if stay was not granted, as the respondent had not provided evidence of means to refund the substantial decretal sum if the appeal succeeded. Balancing the interests of both parties, the Court allowed the stay of execution on condition that the applicant deposits Kshs. 6,000,000 in an interest-earning account as security, pending the hearing and determination of the appeal.
