Procedural Posture

Commercial Case / Ruling on Interlocutory Injunction Application

  1. 1 Whether the plaintiff is entitled to an interim injunction restraining the bank from paying the bid bond to the 1st defendant.
  2. 2 Whether disputes between the plaintiff and 1st defendant can prevent the bank from honouring the bid bond demand.
  3. 3 Whether the plaintiff has established a prima facie case for the grant of an injunction.

Ratio Decidendi

The court held that a bid bond is an independent contract between the beneficiary (1st defendant) and the bank (2nd defendant), and the bank's obligation to pay arises upon a compliant demand, irrespective of disputes between the plaintiff and the 1st defendant. The plaintiff's allegations regarding fraud, lack of capacity, or contractual disputes with the 1st defendant do not affect the bank's duty to honour the bid bond. The court found that the plaintiff had not established a prima facie case for the grant of an injunction, as the bank was bound to pay the sum demanded once the conditions of the bid bond were met. The application for an interim injunction was therefore dismissed.
