The High Court found that the trial court erred by failing to determine both applications before it, particularly the application for stay of proceedings and referral to arbitration, which was not competent because the operative set off agreement did not contain an arbitration clause. The court held that once the parties entered into the set off agreement, the service level agreement (which contained the arbitration clause) ceased to exist for the purposes of dispute resolution.
