Ratio Decidendi

The court held that the agreement for sale and exchange of the suit land was void for want of Land Control Board consent as required by the Land Control Act. However, since the defendant had already received and benefited from the Naivasha plot (including charging and selling it) and the cash consideration, he could only recover the suit land if he restored the plaintiffs to their original position by returning the Naivasha plot and refunding the cash. If unable to do so within 30 days, the plaintiffs would be entitled to transfer of the suit land. The court found the suit was not res judicata, as the defendant failed to provide sufficient material to prove identity of issues and parties...
