Procedural Posture

Civil Appeal / Judgment

  1. 1 Whether the trial court erred in awarding general damages for breach of contract.
  2. 2 Whether special damages were proved and properly awarded.
  3. 3 Whether the trial court erred in dismissing the suit against the third party (Romantic Hotels).

Ratio Decidendi

The High Court found that the trial magistrate erred in awarding special damages as they were not strictly proved by the respondents. The evidence showed that while the appellant may have failed in some aspects of the contractual arrangements, the respondents did not provide sufficient proof for the special damages claimed. The court also clarified that general damages are not ordinarily available for breach of contract unless they arise naturally from the breach or were within the contemplation of the parties. The court further held that the third respondent (Romantic Hotels) acted merely as an agent for the appellant and could not be held liable as an agent for a disclosed principal....

Court Disposition

Appeal partly allowed; special damages award set aside; each party to bear its own costs.

Orders

  • The award of special damages by the trial court is set aside.
