Ratio Decidendi

The court found that the Respondent, being a society registered under the Societies Act, is not a legal person and therefore cannot be sued in its own name. Only its registered trustees, the Church Commissioners of Kenya, have the legal capacity to be sued. This is a substantive legal issue, not a mere technicality, and cannot be cured by Article 159 of the Constitution. As such, the Applicant's suit against the Respondent was fatally defective for want of legal capacity on the part of the Respondent. The court therefore struck out the application without considering the merits of the substantive dispute or the other issues raised.
