Procedural Posture

Civil Suit / Ruling on Interlocutory Application for Stay and Transfer of Suit

  1. 1 Whether the suit should be transferred from Nairobi to Mombasa based on the defendant's principal place of business.
  2. 2 Whether the existence of branch offices and the place of contract execution affect the proper forum for the suit.
  3. 3 Whether the interests of justice and convenience justify a transfer of the proceedings.

Ratio Decidendi

The court found that although the defendant's principal office is in Mombasa, it also operates a branch in Nairobi, as evidenced by its own letterhead and commercial documents. The contract at issue was executed in Nairobi, and the plaintiff has no office in Mombasa. Transferring the suit to Mombasa would merely shift the inconvenience from one party to the other, rather than serve the interests of justice. The Civil Procedure Act and Rules allow for suits to be filed where the cause of action arose or where the defendant carries on business, both of which apply to Nairobi in this case. The application for transfer was therefore unjustified and was disallowed, with costs to be in the cause.

Court Disposition

Orders

  • The application for stay of proceedings and transfer of suit to Mombasa is disallowed.
