The court found that Guo Dong held the 850 shares in Catham Properties Limited as a trustee for Cheng-du Uni-trust, pursuant to the Entrustment Agreement of 28th February 2014. Although the Companies Act prohibited registration of notice of trust, such arrangements remained valid and enforceable between the parties. The purported transfer of shares and resignation documents were found to be fundamentally flawed due to improper attestation, rendering the transfer a nullity.
