Ratio Decidendi

The court held that the defendants/applicants had not demonstrated with evidence that they would suffer substantial loss if stay was not granted, nor had they shown that the plaintiffs would be unable to refund the decretal sum if the appeal succeeded. However, given the large amount involved (over Kshs 5 million), the court considered it appropriate to balance the interests of both parties. Applying the overriding objective and the principles governing stay of execution, the court granted a conditional stay: the defendants were ordered to pay half of the judgment sum to the plaintiffs and deposit the other half in a joint interest-earning account in the names of the parties' advocates...
