Miscellaneous Application / Ruling on Application for Extension of Time to Register Charge
Legal Issues
- 1 Whether the court should exercise its discretion to extend time for registration of a charge under the Companies Act.
- 2 Whether the applicant has provided sufficient cause for the delay in registration of the charge.
Ratio Decidendi
The court found that although the applicant did not provide documentary evidence of the director's absence from the country, the affidavit by the applicant's advocate was credible and unchallenged. The court exercised its discretion under Section 888(1) of the Companies Act, holding that it was in the interest of justice to grant a 30-day extension for registration of the charge. The court emphasized that the purpose of the discretion is to prevent creditors from suffering due to rectifiable mistakes or omissions, and that the applicant's explanation, though not fully substantiated, was sufficient in the absence of contrary evidence.
Court Disposition
application allowed
