The court held that registration of a debenture at the Companies Registry does not constitute sufficient constructive notice to third parties regarding interests in movable property such as vehicles and trailers. Instead, it is incumbent upon the chargee (Akiba Bank Ltd.) to ensure that its interest is noted in the registration (log) book of the vehicle or trailer so that a purchaser conducting a search at the Motor Vehicle Registry would be aware of such interest. In the absence of such notation, and where the applicant had no actual notice, the applicant is entitled to be treated as a bona fide purchaser for value without notice.
