Miscellaneous Application / Ruling on Unopposed Originating Summons for Reduction of Share Premium

  1. 1 Whether the court should approve and confirm the Special Resolution passed by the shareholders for the reduction of the share premium account of the applicant.
  2. 2 Whether the statutory requirements for reduction of share premium under the Companies Act, 2015 have been satisfied.

Ratio Decidendi

The court found that the applicant had complied with all statutory requirements for reduction of share premium, including passing a Special Resolution, publishing notice of the application in a newspaper of nationwide circulation, and ensuring that all creditors' claims had been discharged or secured. There was no opposition to the application. The reduction did not involve diminution of liability in respect of unpaid capital and was justified as the applicant had ceased trading and its paid-up share capital exceeded its requirements. The court therefore approved and confirmed the Special Resolution for reduction of the share premium account as required under the Companies Act, 2015.
