Ratio Decidendi

The court found that the agency agreement between the Defendants and PW1 expressly authorized the sale of the suit land to third parties, and the Plaintiffs, as purchasers for value, acquired enforceable rights. The breach of the agency contract by PW1 (failure to remit the full purchase price) did not void the sale agreements with the Plaintiffs, as the Defendants had expressly authorized the sales and benefited from partial payments. The court held that a constructive trust arose in favor of the Plaintiffs, who had paid for and taken possession of their plots. The Defendants could not evict the Plaintiffs or deny them title, and their remedy lay against the agent for any unpaid balance....
