Procedural Posture

Civil Appeal / Judgment

  1. 1 Whether the agreement between the parties constituted a partnership for a share in Ekerubo Farmers Co-operative Society or a sale of 5 acres of land only.
  2. 2 Whether the appellant was entitled to half of the entire share (23.5 acres) or only 5 acres as per the agreement.
  3. 3 Whether extrinsic evidence could be admitted to vary or add to the terms of the written agreement.

Ratio Decidendi

The Court of Appeal held that the agreement between the parties was clear and unambiguous: it related solely to the subdivision and sale of 10 acres of land, with the appellant entitled to 5 acres upon payment of Kshs.18,000. There was no evidence or alteration to the agreement to suggest entitlement to more land or a partnership in the co-operative society's full share. The appellant's attempt to introduce extrinsic evidence to vary the written agreement was contrary to section 94 of the Evidence Act and established legal principles. The court found no merit in the grounds of appeal and upheld the trial court's decision, dismissing the appeal.
