  1. 1 Whether the Defendant breached the Agreement of Sale by failing to obtain Land Control Board consent and complete the transaction.
  2. 2 Whether the Plaintiff is entitled to a refund of the purchase price and survey fees paid.
  3. 3 Whether the Plaintiff is entitled to interest and costs.

Ratio Decidendi

The court found that the Defendant failed to obtain the necessary Land Control Board consent to complete the sale of the suit land as required by law and the Sale Agreement. The Plaintiff's evidence that Kshs. 800,000 was paid as purchase price and Kshs. 180,000 as survey fees, with only Kshs. 50,000 refunded, was uncontested. Section 7 of the Land Control Act mandates a refund of the purchase price where the transaction is void for want of consent. The Defendant's failure to rebut the Plaintiff's evidence and to fulfill statutory and contractual obligations entitled the Plaintiff to a refund of Kshs. 930,000, interest at court rates from the date of filing suit, and costs.

Court Disposition

Plaintiff's suit allowed.

Orders

  • The Defendant to refund to the Plaintiff a sum of Kshs. 930,000.
  • The Defendant to pay interest on the above amount at court rates from the date of filing this suit until payment in full.
