The Court of Appeal found that the sale agreements of 1973 and 1979 between Kahawa Farmers Co-operative Society Limited and Nairobi City County were valid, supported by full payment and presidential exemption from the Land Control Act. The respondent was put in possession, developed the land, and a constructive trust arose in its favour. The appellant could not claim to be an innocent purchaser for value without notice, as the respondent's occupation and developments were open and notorious prior to the appellant's acquisition.
