The court found that the applicant had demonstrated substantial loss would occur if the stay was not granted, as he had been ordered to transfer the suit property to the respondent despite not having sold it to him. The application was made promptly after judgment, and the applicant expressed willingness to provide security. The court held that justice would be better served by granting the stay to preserve the substratum of the appeal, provided the applicant deposits Kshs. 300,000 as security for costs within 45 days, failing which the stay would lapse automatically.
