The Court held that while the applicant had demonstrated that the intended appeal raised arguable issues, it failed to satisfy the second limb that the appeal would be rendered nugatory if stay of proceedings was not granted. The Court found that if the ELC suit proceeded and was determined before the appeal, the appeal would not be rendered otiose or irrelevant, as any unnecessary proceedings could be remedied by an appropriate order for costs. The Court emphasized that both limbs must be satisfied for a stay to be granted. As the applicant failed to meet the nugatory test, the application for stay of proceedings was dismissed with costs.
