The court found that while the requisition for the EGM and the process leading to the meeting of 15th May 2019 generally complied with the requirements for convening such a meeting, the notice for removal of the 2nd to 8th Plaintiffs as directors failed to provide any reasons for their proposed removal. This omission breached section 141 of the Companies Act, which requires that directors be given sufficient information to enable them to make representations against their removal, and also undermined the right to fair administrative action under Article 47 of the Constitution.
