Procedural Posture

Stay Application / Post Judgment, Application for Stay of Execution Pending Appeal

  1. 1 Whether the applicants have demonstrated sufficient grounds for stay of execution pending appeal.
  2. 2 Whether the applicants have shown substantial loss may result if stay is not granted.
  3. 3 Whether the applicants have offered adequate security for due performance of the decree.

Ratio Decidendi

The court found that the applicants had demonstrated an arguable appeal, particularly on the issue of whether there was an employer–employee relationship or privity of contract, which warrants appellate consideration. The decretal sum awarded was substantial, and the petitioners had not demonstrated ability or willingness to refund the amount if the appeal succeeded, satisfying the substantial loss limb. The 1st respondent expressed willingness to comply with security conditions, while the 2nd respondent did not offer security. The court also considered the risk of the respondents, as foreign NGOs, leaving the jurisdiction, which had been a concern since the inception of the proceedings....

Court Disposition

Stay of execution granted subject to conditions.

Orders

  • Applications for stay by both the 1st and 2nd respondents are granted subject to deposit of the decretal sum in a joint interest-earning account in the names of the counsels for the petitioners and respondents.
  • The respondents shall each deposit Kshs.6,500,000 within 60 days.
