Ratio Decidendi

The court found that while the Registrar of Companies had conceded to the prayer for de-archiving the applicant's file, the other prayers relating to the shareholding position and directors' functions could not be granted. This was because the shareholding had already changed as per the Registrar's records, and there was no substantive prayer or suit seeking to reverse the status as at the later date. The court held that such disputes over shareholding require a substantive suit for proper adjudication. Therefore, only the conceded prayer was allowed, and the rest were declined as overtaken by events.
