Ratio Decidendi

The court held that the dismissal of the 2nd Defendant's application on 11th July 2012 was a negative order, which did not result in any executable order except for costs. As such, there was nothing to stay pending appeal under Order 42 Rule 6 of the Civil Procedure Rules. The court further found that the 2nd Defendant did not provide sufficient grounds for a stay of proceedings, and that the interests of justice required the matter to proceed to full hearing to resolve the underlying company disputes. The application for stay was therefore dismissed with costs, and directions were given for the parties to prepare for trial.
