Ratio Decidendi

The court found that the defendant admitted receiving the KShs 2.5 million as stakeholder under the sale agreement, which expressly required the deposit to be held pending successful registration of transfer to the purchaser. As there was no successful registration and the defendant failed to explain the circumstances under which he paid the deposit to the vendor, he remained liable to refund the sum to the plaintiff. The defendant's defence did not raise any triable issue and was considered a sham. The application for summary judgment was unopposed, and the plaintiff was entitled to judgment for the liquidated sum claimed, together with interest and costs.
