The applicants were not parties to the proceedings before the High Court and admitted as much. Their claim that the original suit was filed by persons without locus was contradicted by documentary evidence showing those individuals were shareholders of the 1st respondent. The fact that the applicants later became directors does not entitle them to joinder at the appellate stage, especially as their interests were already represented in the original suit.
