The respondent's defence that refunds were to be delayed for two years based on an AGM resolution was not supported by evidence of communication to the claimant or proof that such a resolution could override statutory entitlements. The Tribunal determined that the claimant was entitled to a refund of Kshs. 124,870.05, being the amount shown in the statement of account, together with costs and interest. The respondent's failure to process the refund was unjustified in the circumstances.
