The court found that the Plaintiff proved full payment of the purchase price through the sale agreement and contemporaneous acknowledgments, while the 1st Defendant failed to prove a contractual breach by the Plaintiff. Full payment and possession gave rise to an enforceable equitable interest in Apartment C6, with the 1st Defendant holding legal title in trust pending completion. The later charge to KCB was therefore subject to that overriding equitable interest and unenforceable against Apartment C6. The Plaintiff was entitled to declaratory, injunctive, partial discharge, and specific performance relief, plus exemplary damages against the 1st Defendant for unconscionable conduct.
