The issues in dispute—ownership and shareholding of East African Parking Limited—were directly and substantially in issue in the previous suit, Milimani High Court Commercial Case E106 of 2018. Although the parties were not identical, the consent judgment in the previous suit expressly extended to the directors of the parties, including the current litigants.
