The court found that although part of the debt (certificate no 35) was not disputed, there existed a genuine dispute between the parties regarding the remainder of the debt, as evidenced by ongoing mediation, correspondence, and an uncontroverted report. The existence of a bona fide dispute and a counterclaim, even if not fully quantified, was sufficient to defeat the statutory demand at this stage. The court also accepted the applicant's explanation for the delay in filing the application, finding it not inordinate.
