The payment of goodwill is a pre-contractual condition typically settled once at the start of the tenancy, and the tenant had already paid KShs. 1,000,000 as goodwill at the commencement of the original lease. The tribunal held that goodwill cannot be demanded again upon renewal unless expressly agreed and executed in a new contract. Therefore, the landlord's demand for additional goodwill was unjustified, and the tenant was not in arrears nor obligated to pay further goodwill upon renewal.
