Ratio Decidendi

The court held that the absence of a company resolution authorizing the institution of the suit or authority under the company seal for the verifying affidavit, at the preliminary stage, is not fatal to the suit. Such procedural defects are curable and do not go to the jurisdiction of the court. The law allows for the filing of the necessary company resolution or authority at any time before the suit is fixed for hearing, and actions commenced without proper authority may be ratified subsequently. Striking out the suit for such defects would elevate form over substance and hinder the administration of justice. The preliminary objection was therefore found to be without merit and dismissed.
