Ratio Decidendi

The court found that the application for stay of execution was filed without unreasonable delay and that the applicants would suffer substantial loss if the decretal sum was paid out and the appeal succeeded, as the respondents may not be able to refund the amount. However, since the appeal only contests the quantum of damages and not liability, the court held that stay should be granted on condition that part of the decretal amount is paid as security. The court determined that payment of Kshs.400,000 within 30 days would suffice as security for due performance, and failure to pay would result in automatic lapse of the stay orders.
