Procedural Posture

Civil Suit / Ruling on Application for Leave to Continue Derivative Action and Other Interlocutory Reliefs

  1. 1 Whether the plaintiffs are entitled to continue the suit as a derivative action on behalf of Karura Investments Limited.
  2. 2 Whether the plaintiffs have established a case for protection against oppressive conduct and unfair prejudice under the Companies Act.
  3. 3 Whether the grievances raised are personal to the plaintiffs or vest in the company.

Ratio Decidendi

The court found that the plaintiffs' grievances were personal in nature and did not constitute a cause of action vested in Karura Investments Limited. The reliefs sought were for the protection of the plaintiffs' personal rights as members and not for the benefit of the company. As such, the substratum of the action did not support a derivative claim. The court held that permission to continue the suit as a derivative action could only be granted if the claim was prima facie a derivative claim, which was not the case here. Consequently, the plaintiffs' application for leave to continue the suit as a derivative action was refused, and the entire claim was dismissed with costs.

Court Disposition

Plaintiffs' application and suit dismissed with costs.
