Ratio Decidendi

The court found that although the applicants delayed for over six months in seeking to appeal, and no evidence of restructuring was provided, the right of appeal should not be unduly impeded. The draft memorandum of appeal was not frivolous and raised serious issues. Therefore, the court exercised its discretion to grant leave to file an appeal within 14 days. However, the court held that a stay of execution pending appeal could not be granted before the filing of a memorandum of appeal, as the court would otherwise be acting without jurisdiction. The prayer for stay was rejected, but the court ordered that the status quo be maintained pending the filing of the memorandum of appeal.
