Procedural Posture

Civil Suit / Ruling on Preliminary Objection

  1. 1 Whether the present application is barred by the doctrine of res judicata.
  2. 2 Whether leave should be granted to commence a derivative action on behalf of Ukamba Agricultural Institute.

Ratio Decidendi

The court found that all elements of res judicata were satisfied: the parties in the present application were the same or substantially the same as in the previous suit (HCCC No 218/2016), the reliefs sought were essentially identical, and the issues had been heard and finally determined by a competent court. The applicant's attempt to relitigate the same matters under a different application was an abuse of court process. The court emphasized the need for finality in litigation and the avoidance of duplicative proceedings. Accordingly, the preliminary objections were upheld, and the application was struck out as being res judicata.

Court Disposition

Application struck out as res judicata with costs to the respondents and affected company.
