The court found that the restructuring and redundancy process undertaken by KEMSA amounted to the establishment and abolition of office, a function constitutionally reserved for the Public Service Commission under Article 234(2)(a). KEMSA did not involve the PSC in the process, nor was there evidence of delegated authority. As such, the actions of the Board were ultra vires, unconstitutional, and null and void ab initio. The redundancy process, being founded on this illegality, was also unlawful and could not be cured by subsequent compliance with Section 40(1) of the Employment Act.
