The court found that the sale agreement between the plaintiff and the defendant was fundamentally ambiguous and contained grave errors regarding the description and extent of the land being sold. The agreement referred to both a portion and the whole of the land, and the share certificate issued to the plaintiff was also contradictory. The court held that there was no clear meeting of the minds between the parties as to what was being sold and purchased. As a result, the agreement was declared null and void for uncertainty. The court ordered the defendant to refund the plaintiff the purchase price of Kshs.410,000 with interest at court rates from the date of judgment.
