The court found that the person who attended the auction (PW1) impersonated the plaintiff and did not disclose his agency, signing the memorandum of sale as the plaintiff without authority or power of attorney at the time. This constituted impersonation and not lawful agency. Furthermore, the terms and conditions of the auction sale, specifically the reserve price of Kshs. 320,000 and the requirement for a 25% deposit at the fall of the hammer, were not met. The bank did not accept the purchase price as it was below the reserve price, and the deposit was not paid as required.
