The court found that the Sale Agreement between Evans Kipngetich and James Kigathi Ndegwa was not properly rescinded because the vendor failed to issue the required twenty-one days' notice of default and continued to accept payments after the contractual completion period, thereby varying the agreement by acquiescence. The purported rescission was therefore null and void, and the agreement remained valid and enforceable. Consequently, the subsequent transfer of the property to Humphrey Mbugua and then to Michael Luchu Owen Nageri and Christine Iteya Masiolo was void ab initio, as the vendor had already received the full purchase price from the respondent and had no valid title to pass....
