The Plaintiff failed to fulfill his obligations under the sale agreement by not paying the balance of the purchase price or providing a professional undertaking to the Bank within a reasonable time. The 1st Defendant was entitled to withdraw from the agreement due to the Plaintiff's inordinate delay. The 2nd Defendant, as chargee, lawfully exercised its statutory power of sale after the Plaintiff defaulted, and was not bound by the agreement between the Plaintiff and the 1st Defendant. The Plaintiff did not prove that the Defendants colluded or acted fraudulently in the transfer and charging of the property.
