Ratio Decidendi

The court found that, although the petitioner raised issues of director deadlock and alleged oppression, there was a pending appeal in the Court of Appeal involving the same parties and subject matter. Determining the winding up petition while the appeal was unresolved could prejudice the appellate process and result in conflicting decisions. The court held that it was not tenable to proceed with the merits of the winding up cause until the appeal was heard and determined. The only reasonable course was for the petitioner to withdraw the cause as it was premature in light of the pending appeal.
