The court found that the interested party, as the current registered owner of the suit property, would suffer substantial loss if the stay was not granted, as its title would be cancelled and the property registered in the plaintiff's name, exposing it to potential lawsuits from third parties and jeopardizing its investment. The court also found that the application was made without unreasonable delay and that the interested party was willing to abide by any order on security. Balancing the interests of both parties, the court held that the right of appeal must be protected and granted the stay of execution on condition that the interested party deposits Kshs.2,000,000 as security.
