There was no evidence of a final court order dissolving the company or a liquidator's report confirming the completion of all affairs. The purported change of directorship in 2005 was effected without the requisite supporting documents and was therefore irregular, unlawful, and void ab initio. The Registrar of Companies failed in its statutory and constitutional duties by allowing the change without proper verification and documentation.
