Procedural Posture

Garnishee Proceedings / Ruling on Disclosure and Directions

  1. 1 Whether the judgment debtor holds shares or is entitled to dividends in the garnishee bank that can be attached to satisfy the decree.
  2. 2 Whether the garnishee bank is obliged to disclose the shareholding and dividend entitlements of the judgment debtor.
  3. 3 Whether the objections raised by the garnishee regarding limitation of interest and procedural steps are barred by res judicata.

Ratio Decidendi

The court found that Mugama Farmers Co-operative Union Limited is a shareholder of Co-opholdings Co-operative Society Limited, which in turn is the majority shareholder in the Co-operative Bank of Kenya Limited. Although Mugama does not directly hold shares in the bank, its shareholding in Co-opholdings entitles it to dividends, which have a realizable value. The court held that these dividends and shares may be called in to satisfy the outstanding judgment debt. The objections raised by the garnishee bank regarding procedural steps and limitation of interest were found to be barred by res judicata, as they had already been determined or ought to have been raised in earlier proceedings....

Court Disposition

Interlocutory orders; further directions issued for disclosure.
