The Plaintiff, having transferred title to the Defendants before full payment, could not rely on the 'time is of the essence' clause, as their conduct amounted to a waiver of strict compliance with time. The Plaintiff was required to issue a completion notice to the Defendants before rescinding the contract, which was not done.
