Ratio Decidendi

The court found that although the Defendant failed to pay the full purchase price within the stipulated period, the Plaintiff also failed to complete its obligations within the agreed time, including subdivision and transfer of the property. By transferring title to the Defendants before full payment and without issuing a completion notice, the Plaintiff waived the right to treat time as of the essence. The Law Society Conditions of Sale, incorporated into the agreement, required the Plaintiff to serve a completion notice before rescinding the contract. Since no such notice was served, the Plaintiff was not entitled to rescind the agreement or seek re-transfer of the properties....
