Ratio Decidendi

The Court of Appeal held that the Commissioner for Co-operative Development had no statutory authority to convene an annual general meeting of the Sukuma Wiki Co-operative Society in the absence of an audit report, as required by Rule 26 of the Co-operative Societies Rules. The purported meeting and elections were therefore a nullity ab initio. The proper procedure for resolving the management crisis would have been to convene a special general meeting under Rule 28(4), which the Commissioner failed to do.
