The court found that the 70th Special Board Meeting of the Kenya Sugar Board held on 27/6/06 was convened irregularly, as the statutory requirement of 14 days' notice was not met and there was no evidence of proper requisition or waiver by three-quarters of the Board members. The meeting proceeded in flagrant disregard of a valid court order restraining its conduct, and the Vice Chairman had no authority to preside after the Chairman left due to the court order. The resolutions passed at the meeting, including the removal of the Chairman and renewal of the CEO's contract, were therefore tainted by illegality and contempt of court.
