The Court of Appeal held that Malindi HCCC No. 10 of 2019 was not res judicata in relation to Malindi HCCC No. 118 of 2009 because the issues, parties, and capacities in which they appeared were different, and the earlier suit had not been finally determined. The appellant, as a defendant, had no legal right to withdraw the suit on behalf of the plaintiff under Order 25 Rule 1 of the Civil Procedure Rules. The question of directorship and shareholding of the 1st respondent was still unresolved and pending final determination in court.
