Ratio Decidendi

The court found that the applicant could not be permitted to act on behalf of the ailing administrator without the consent of all beneficiaries and without formal appointment by the court. The transfer of 186 shares by the administratix to the 1st Respondent was ultra vires and in contravention of the rectified certificate of confirmation of grant, which required the shares to be held in trust for all beneficiaries. The 1st Respondent's subsequent sale of 21 shares was unauthorized and violated a subsisting court order. The court ordered cancellation of the share certificate issued to the 1st Respondent and directed that the proceeds of the remaining 165 shares be distributed equally...
