The court found that the Deed of Variation dated 11th November 2009, which introduced a vesting date that would have deprived the plaintiff of the accrued value of his ESOP shares, was not approved by the Capital Markets Authority prior to the plaintiff's resignation and request for redemption. As such, the variation was invalid as against the plaintiff, and the original Deed of Settlement and ESOP Rules governed his rights. The trustees and the bank failed in their fiduciary duty by not informing the plaintiff of the variation, allowing him to make a detrimental decision without knowledge of the change.
